I.Acceptance of the Terms of Use

These terms of use are entered into by and between you and OVERNGHT PLUS, LLC ("Company," "we," or "us"). The following terms and conditions, together with any and all other documents, policies, or guidelines published by us in connection herewith, (collectively, "Terms of Use" or "Terms"), govern your access to and use of https://www.overnght.com/, including any content, functionality, and services offered on or through https://www.overnght.com/ or the Overnght Media mobile application (collectively, the "Website"), whether as a guest or a registered user.

"Services" means the Website, our mobile and connected device applications, and any content, functionality, products, or services offered on or through them, including live and on-demand video streams, whether accessed via web browsers, apps, smart TVs, set-top boxes, or other platforms we make available. References to the "Website" are deemed to include the Services unless the context clearly indicates otherwise.

This Services are offered and available to users who are 18 years of age or older, or any higher minimum age in the jurisdiction where you reside. By using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you are between 13 and 18 years of age, you must have your parent or legal guardian's express consent and permission of your parent or legal guardian who agrees to be bound by these Terms and is responsible for your use. If you do not meet all of these requirements, you must not access or use the Website.

Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use the Website.

We may suspend or terminate your access to the Services (in whole or in part) for any actual or suspected breach of these Terms, fraudulent or illegal activity, or to protect the Services, other users, or rights holders.

II.Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole and absolute discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter.

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access this Website, so you are aware of any changes, as they are binding on you.

Except as otherwise expressly stated in these Terms, all changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Notwithstanding the foregoing, changes to subscription pricing and other material subscription-related terms will take effect as of your next billing period unless expressly stated otherwise in the notice provided to you.

III.Accessing the Website and Account Security

The Website is provided to you on an "As Is" basis. We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole and absolute discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Website.
  • Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

To access the Website or any of the Services it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete in all respects. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, below, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. Your account is personal to you, and you may not share your credentials with anyone outside your Household. Household access is permitted as set out in Section IV and subject to our device, profile, and concurrency limits; you remain responsible for all activity under your account. You agree to notify us immediately in writing of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole and absolute discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

In addition, your access to the Website may be subject to restrictions based on your location due to regional blackouts, device-specific, or similar restrictions, and certain networks may be unavailable in certain local markets. We may use different technologies and methods to verify your location, and you may be required to enable location sharing on certain devices in order to access the Website, including, without limitation, to allow Company to comply with any applicable blackout or local market restrictions.

We strive to make the Services accessible to users with disabilities. If you need an accommodation or assistance, please contact support@overnght.com. We will review requests in good faith and in accordance with applicable law.

IV.Subscriptions & Payments

When purchasing your subscription to the Services, you may be presented with different plans or options. Your subscription to the Services includes enrollment into a recurring payment plan. Your subscription automatically renews at the end of the disclosed billing period unless you cancel at least seven (7) business days before the end of your current billing period. Cancellation becomes effective at the end of the current billing period, and you will continue to have access through that period. Cancellations submitted fewer than seven (7) business days before renewal will apply to the subsequent billing period. As utilized herein "business day" means any day other than a Saturday, Sunday, or U.S. federal holiday, based on Pacific Time (Nevada, U.S.).

Prices are exclusive of any applicable taxes, duties, levies, or fees (collectively, "Taxes") unless expressly stated otherwise. We may charge Taxes as required by law, which will be calculated based on the billing information you provide. If you purchase through a third-party platform, Taxes may be collected by that platform in accordance with its terms.

Subscriptions may not be shared outside of your household. "Household" means the collection of devices associated with your primary personal residence that are used by the individuals who reside therein. You may not share credentials with anyone outside your Household. Within your Household, only use via permitted profiles and registered devices is allowed, subject to the limits which may, now or hereafter, be imposed by Company, including, without limitation, a device registration cap, a profile number cap, or a concurrent streaming cap. We may suspend or terminate access in cases of suspected or actual sharing beyond permitted limits or circumvention of technical controls.

You must cancel your subscription before it renews in order to avoid billing of the fees for the next billing period to your payment method. Unless otherwise indicated at the time of notice, any price change is effective after 30 days' notice thereof, applicable to the next billing period. If you do not agree to a price change, you may cancel your subscription before renewal. If you do not timely cancel your subscription, your subscription will be renewed at the price in effect at the time of the renewal.

Cancellation will take effect at the end of the current billing period, and you will continue to have access to the Website through the end of the period. We do not issue refunds or credits for partially used membership periods. Notwithstanding the foregoing, we may, in our discretion, grant a refund or credit in limited circumstances, including confirmed duplicate charges or verified billing errors. To request such an exception, you must submit a support request to support@overnght.com with details (e.g., error messages, screenshots, timestamps) within 30 days of the event; failure to timely submit may result in denial of the request. Pro-rata refunds are not provided. Notwithstanding anything herein to the contrary, if you purchased your subscription through a third-party platform (e.g., Apple App Store or Google Play), billing, cancellations, and refunds may be administered by that platform, and their terms may control in the event of conflict.

If you experience technical difficulties (e.g., streaming issues) or other issues with the Services, you must raise a case with us at support@overnght.com prior to requesting a refund exception in accordance with the above paragraph. Otherwise, you will not be eligible for a refund due to technical issues. In your email, provide as much detail as possible so our support team can assist you. You should include any additional information about your issue, including screenshots, error codes, and any steps you took to resolve the issue. Company's support team will review your request and determine whether your subscription purchase is eligible for a refund.

V.Privacy Policy

(A) Acceptance of Privacy Policy

This Privacy Policy describes how we collect, process, retain, and disclose personal data about you when providing services to you through our Website.

By accessing or using the Website, you agree to be bound by this Privacy Policy and all of the terms incorporated herein by reference. By using the Website and/or submitting or collecting any personal data via the Website, you accept and expressly consent and agree to our practices surrounding the collection, use, and sharing of personal information (referring to any information that relates to an identified or identifiable individual, as described more fully below) and non-personal information (referring to information that does not identify you as a specific individual) provided by you in the manner described in this Privacy Policy. If you do not consent and agree with the terms of this Privacy Policy, you cannot, and we do not authorize you to, access, browse, or use the Website.

This policy applies only to information we collect:

  • Through the Website.
  • In communications, including email, text, chat, and other electronic messages, between you and the Company.

It does not apply to information collected by:

  • Us offline or through any other means, including on any other website operated by Company or any third party (including our affiliates) that does not link to this policy; or
  • Any third party (including our affiliates), including through any application or content (including advertising) that may link to or be accessible from or through the Website. This includes, but may not be limited to, the AI customer chatbot functionality through Certainly which may store input and other data in accordance with its terms which can be found here: https://www.certainly.io/dpa. The foregoing link is being provided solely as an accommodation. We make no representations or warranties, express or implied, in connection therewith, including, without limitation, as pertaining to the contents therein or the accuracy thereof.

Our processing of personal information, such as your name, address, e-mail address, or telephone number, shall be undertaken consistent with the requirements of applicable privacy laws. The purpose of this Privacy Policy is to provide, to users and potential users of our Website, information about the nature, scope, and purpose of the personal information we collect, use and process and to advise data subjects of their rights. Whether we serve as the data controller or processor, we have implemented numerous technical and organizational measures to promote the protection of personal information processed through the Website. However, Internet-based data transmissions may in principle have security gaps, so please understand that absolute protection is not assured.

Accountability with respect to your personal information is important to us. In the event that you have any questions (including how your personal information is managed), complaints or concerns about this Privacy Policy, or if you have reason to believe that we may have failed to adhere to it, please contact us anytime at support@overnght.com.

(B) Personal Information We Collect Directly From You

"Personal Information" refers to information that identifies, relates to, or describes, directly or indirectly, you as an individual, such as your name, email address, telephone number, home address, or payment information (for example, account information such as name, postal address, and email address, credit card number, or any other identifier we may use to contact you online or offline). You agree that we may communicate with you, including by sending information, correspondence, and notices to you. We may provide notices to you under these Terms by: (a) email to the address associated with your account; (b) posting within your account or on the Services; or (c) push notifications in our apps. Notices are deemed given on the date sent or posted. You are responsible for keeping your contact information current.

We receive personal information directly from you when you voluntarily provide us with such personal information, including, without limitation, the following:

  • Personal information (such as your e-mail address and phone number);
  • Demographic data (such as your gender, your date of birth and your zip code);
  • Other identifying information that you voluntarily choose to provide to us, including without limitation: (i) unique identifiers such as passwords, and personal information in messages that you send to us; (ii) when you voluntarily provide information in free-form text boxes through the Site or through responses to surveys, questionnaires and the like; (iii) when you use the Website's interactive tools and services; or (iv) when you use the "Contact" function on the Website, send us an email or otherwise contact us.

We may also collect additional information, which may be personal information, as otherwise described to you at the point of collection or pursuant to your consent. You may still access and use some portions of the Website if you choose not to provide us with any personal information, but features of the Website that require your personal information will not be accessible to you.

Please note that we may also, and reserve the right to, collect:

  • Statistics or aggregated information. Statistical or aggregated data does not directly identify a specific person, but we may derive non-personal statistical or aggregated data from personal data.
  • Technical information. Technical information includes information about your internet connection and usage details about your interactions with the Website, such as clickstream information to, through, and from our Website (including date and time), products that you view or search for; page response times, download errors, length of your visits to certain pages, page interaction information (such as scrolling, clicks, and mouse-overs), or methods used to browse away from a page.

If we combine or connect non-personal statistical or technical data with personal data so that it directly or indirectly identifies an individual, we treat the combined information as personal information.

(C) Information From Third Party Sources

Some third parties, such as our business partners and service providers, may provide us with personal information about you.

If you interact with a third party service when using our Website, such as if you use a third party service to log-in to our Site (e.g., Facebook or Google), or if you share content from our Website through a third party social media service, the third party service will send us certain information about you if the third party service and your account settings allow such sharing. The information we receive will depend on the policies and your account settings with the third-party service. You understand the information transmitted to us is covered by this Privacy Policy; for example, the basic information we receive from Facebook about you.

(D) Automatic Information Collection; Tracking Tools

In order to access and use certain areas or features of the Website, you consent to our collection and use of certain information about your use of the Website through the use of tracking technologies or by other passive means.

Your consent to our access and use of this "passively collected" information includes, but is not limited to, the domain name of the website that allowed you to navigate to the Website, search engines used, the internet protocol (IP) address used, the length of time spent on the Website, the pages you looked at on the Website, other webpages you visited before and after visiting the Website, the type of internet browser you have, the frequency of your visits to the Website, and other relevant statistics, including the following. We may use all or some of the tools outlined below in order to provide our Website to, advertise to, and to better understand users:

  • Traffic Data: We also may automatically collect certain data when you use the Website, such as: (1) IP address; (2) domain server; (3) type of device(s) used to access the Website; (4) web browser(s) used to access the Website; (5) referring webpage or other source through which you accessed the Website; (6) geolocation information; and (7) other statistics and information associated with the interaction between your browser or device and the Website (collectively, "Traffic Data"). Depending on applicable law, some Traffic Data may be personal information.
  • Location-Enabled Data: If you use a location-enabled browser, we may receive information about your location and mobile device, as applicable.
  • Cookies: "Cookies" are small computer files transferred to your computing device that contain information such as user ID, user preferences, lists of pages visited and activities conducted while using the Website. We use cookies to improve or tailor the Website, customize advertisements by tracking navigation habits, measuring performance, and storing authentication status so re-entering credentials is not required, customize user experiences with the Website, and for analytics and fraud prevention.     • Some cookies are placed by a third party on your device and provide information to us and third parties about your browsing habits (such as your visits to our Website, the pages you have visited, and the links and advertisements you have clicked). These cookies can be used to determine whether certain third party services are being used, to identify your interests, and to serve advertisements relevant to you. We do not control third party cookies.
  • Web Beacons: Some parts of the Website and our emails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit the Company, for example, to count users who have visited those parts or opened an email and for other related statistics (for example, recording the popularity of certain content and verifying system and server integrity).
  • Behavioral Advertising: We may use a type of advertising commonly known as interest-based or online behavioral advertising. This means that some of our partners use Tracking Tools, such as cookies, pixel tags, and web beacons, to collect information about a user's online activities to display Company ads to the user based on the user's interests ("Behavioral Advertising"). Such partners may include third-party service providers, advertisers, advertising networks or platforms, traffic measurement service providers, marketing analytics service providers, and other third-party service providers (collectively, "Advertising Service Providers"). Other Tracking Tools used by our partners may collect information when you use the Website, such as IP address, mobile device ID, operating system, browser, web page interactions, geographic location and demographic information, such as gender and age range. These Tracking Tools help Overnght learn more about our users' demographics and internet behaviors.

(E) Options for Opting Out

This section describes mechanisms you can use to control certain uses and disclosures of your information and rights you may have under state law, depending on where you live.

  • Cookies and Other Tracking Technologies. You can set your browser to refuse all or some browser cookies or other tracking technology files, or to alert you when these files are being sent. If you disable or refuse cookies or similar tracking files, some Services features may be inaccessible or not function properly.
  • "Do Not Track" (DNT) Signals. Some web browsers incorporate a "Do Not Track" (DNT) or similar feature that signals to web services that a visitor does not want to have his/her online activity and behavior tracked. If a web service operator elects to respond to a particular DNT signal, the web service operator may refrain from collecting certain personal information about the browser's user.   • State Privacy Rights. Depending on your state of residency, you may have certain rights related to your personal data, including:
    • Access and Data Portability. You may confirm whether we process your personal data and access a copy of the personal data we process. To the extent feasible and required by state law, depending on your state, data will be provided in a portable format. Depending on your state, you may have the right to receive additional information and it will be included in the response to your access request.
    • Correction. You may request that we correct inaccuracies in your personal data that we maintain, taking into account the information's nature and processing purpose.
    • Deletion. You may request that we delete personal data about you that we maintain, subject to certain exception under applicable law.
    • Opt Out of Using Personal Data for Targeted Advertising, Profiling, and Sales. You may request that we do not use your personal data for these purposes.

Important: The exact scope of these rights vary by state. There are also several exceptions where we may not have an obligation to fulfill your request.

Nevada provides its residents with a limited right to opt out of certain personal data sales. Residents who wish to exercise their sale opt-out rights may submit a request to this designated address: support@overnght.com.

This Privacy Policy does not cover the use of cookies and other Tracking Tools by any third parties, and we aren't responsible for their privacy policies and practices. Please be aware that some cookies placed by third parties can continue to track your activities online even after you have left our Website.

(F) How We Use Your Information

We may use information (including information that has been de-identified and/or aggregated) to better understand who uses the Website and how we can deliver a better user experience. All information we collect on this Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

We use information, including personal information, to provide the Website and to help improve the Website, to develop new services, and to advertise (for example, to display Company ads on other web services). Specifically, such use may include:

  • Providing you with the products, services and information you request;
  • Responding to correspondence that we receive from you;
  • Contacting you when necessary or requested, including to remind you of an upcoming appointment;
  • Providing, maintaining, administering or expanding the Website, performing business analyses, or for other internal purposes to support, improve or enhance our business, the Website, and other products and services we offer;
  • Customizing or tailoring your experience of the Website, which may include sending customized messages or information;
  • Notifying you about certain resources or services we think you may be interested in learning more about;
  • Sending you information about Company or our products or the Website;
  • Sending emails and other communications that display content that we think will interest you and according to your preferences;
  • Combining information received from third parties with information that we have from or about you and using the combined information for any of the purposes described in this Privacy Policy;
  • Showing you advertisements, including interest-based or online behavioral advertising;
  • Using statistical information that we collect in any way permitted by law, including from third parties in connection with their commercial and marketing efforts;

  • Enforcing Terms and Conditions and logins using geolocation; and

We also may disclose aggregated information about our users, and information that does not identify any individual, without restriction. We may also disclose personal data that we collect or you provide as described in this privacy policy:

  • To our subsidiaries and affiliates.
  • To contractors, service providers, and other third parties we use to support our organization.
  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Company's assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal data held by of Company is among the assets transferred.
  • To third parties to market their products or services to you if you have not opted out of these disclosures.
  • To fulfill the purpose for which you provide it.
  • For any other purpose disclosed by us when you provide the information.

We may also disclose your personal data:

VI.Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, graphics, statistics, metadata, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Website for your personal, non-commercial use only. You are solely granted a revocable, limited, non-exclusive, non-sublicensable, non-transferable license to access and view the materials on the Website, only in accordance with these Terms of Use.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may download a single copy of the Overnght Media mobile application to your mobile device solely for your own personal, non-commercial use, provided you agree to be bound by any such applicable end user license agreement for such applications.

You must not:

  • Re-broadcast materials from the Website.
  • Utilize materials from the Website for any other purpose, including, without limitation, re-posting materials to social media, utilizing materials for AI coaching tools or analytics, utilizing materials for a commercial purpose (e.g., reselling).
  • Modify copies of any materials from the Website.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of the Website or any services or materials available through the Website.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

You acknowledge and understand that the limited access rights provided herein shall not, nor shall they be considered to, modify or otherwise alter the respective rights of Company's licensors or providers in and to their intellectual property, including as may apply to materials on the Website. Any and all such intellectual property may be subject to a separate agreement by and between Company and its licensors or providers. Company makes no representations or warranties as to the continued availability thereof on the Website, or as to any future materials, including, without limitation, future events, seasons, or leagues for materials which currently appear on the Website, all of which remain subject to expiration or change.

VII.Trademarks

The Company name, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the express prior written permission of the Company or, as applicable, its affiliates or licensors. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

VIII.Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material, including, uploading, posting, transmitting, or otherwise making available any content or material that is unlawful, infringing, deceptive, defamatory, or otherwise prohibited under these Terms, or that you do not have a right to make available.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

Additionally, you agree not to:

  • Record, capture, restream, rebroadcast, or otherwise reproduce streams or content; attempt to disable or circumvent any digital rights management (DRM), geo-restrictions, or paywalls; or use any device, software, or method (including VPNs, proxies, or screen-capture tools) to circumvent technical controls or regional blackouts.
  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website.
  • Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring, mining, scraping, or otherwise copying any of the material on the Website, including, without limitation, any of the listed statistics, data, or videos.
